Terms of Service

Welcome to SOP Reports. These Terms of Service ("Terms") govern your access to and use of the SOP Reports website (sopreports.com) and the SOP Reports inspection platform (collectively, the "Service"), operated by SOP Reports ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

2. Account Registration and Security

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorized use of your Account.

You must be at least 18 years old to create an Account. By registering, you represent that you have the authority to bind your Organization to these Terms.

4. Pricing and Payment

4.1 Pricing Model

The Service uses metered billing:

All payments are processed by Square, Inc. By providing a payment method, you authorize Square to charge the applicable fees. Payment terms are net-0 (charged at the end of each billing period based on usage). You are responsible for maintaining a valid payment method on file.

4.3 Failed Payments

If a payment fails, we will notify you and provide a 3-day grace period to update your payment method. If payment is not resolved within the grace period, your Account may be suspended and access to the Service restricted until payment is received.

4.4 Pricing Changes

We may change our pricing with 30 days' notice. Price changes will not apply retroactively. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial

New Organizations receive their first 5 published reports at no charge. No payment method is required to begin the trial. After the 5th published report, a payment method must be added to continue using the Service. We reserve the right to modify or terminate the free trial offer at any time.

6. Cancellation and Termination

6.1 By You

You may cancel your subscription at any time through your Account settings or by contacting support@sopreports.com. Cancellation takes effect at the end of the current billing period. You will retain access until that date. No refunds are provided for partial billing periods.

6.2 Data Export on Cancellation

Upon cancellation, you may export your Reports and data for 90 days. After 90 days, your data will be permanently deleted. It is your responsibility to export data before this deadline.

We may suspend or terminate your Account if you violate these Terms, fail to pay fees, or engage in fraudulent or abusive behavior. We will provide notice and an opportunity to cure when reasonable.

8.1 Our IP

The Service, including its software, design, text, graphics, logos, and all related intellectual property rights, are owned by SOP Reports. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it as described herein.

8.2 Your Data

You retain all rights to the data you upload, create, or store in the Service, including inspection Reports, photographs, SOP documents, and client information. We claim no ownership over your data. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without restriction or obligation to you.

9. AI-Generated Content Disclaimer

Our Service uses artificial intelligence to assist with report generation, SOP citation matching, finding narratives, and defect detection. AI-generated content is provided as a drafting aid only. You are solely responsible for reviewing, verifying, and approving all AI-generated content before it is included in any final Report delivered to a Client.

We do not guarantee the accuracy, completeness, or legal sufficiency of AI-generated citations, findings, or narratives. It is your professional obligation to ensure that all Reports comply with applicable Standards of Practice, state regulations, and industry requirements.

The Service integrates with third-party providers, including Square (payments), email delivery services, and AI processing providers. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services may be subject to their own terms and policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless SOP Reports and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

13. Dispute Resolution and Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in King County, Washington. Judgment on the arbitration award may be entered in any court having jurisdiction.

You agree to resolve disputes on an individual basis only and waive any right to participate in a class action, class-wide arbitration, or consolidated proceeding.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, civil unrest, government orders, power or internet outages, or third-party service failures.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SOP Reports regarding the Service and supersede any prior agreements.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on our website at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
